FIDELITY Bank Plc is set for a board change as Chief Nelson Nweke prepares to retire as a non-executive director, while shareholders are expected to approve the appointment of Dr JonatMrs Amaka Onwughalu,han Ososuakpor at the bank’s rescheduled 38th Annual General Meeting (AGM).
The bank disclosed the changes in a notice to the Nigerian Exchange Limited on Tuesday, announcing that the AGM will now hold virtually on Friday, October 9, 2026, at 10am.
Nweke, who is due to retire by rotation under the bank’s Articles of Association, has informed the board that he will not seek re-election. His retirement will take effect at the end of the AGM.
In contrast, Ososuakpor, who joined the board as a non-executive director on May 22, 2026, will be presented to shareholders for election at the meeting.
Shareholders will also vote on the re-election of Chairman and Non-Executive Director, Ms Amaka Onwughalu,who is due to retire by rotation but has offered herself for another term.
The board changes form part of the ordinary business scheduled for the AGM, alongside consideration of Fidelity Bank’s audited financial statements for the year ended December 31, 2025.

Shareholders will also receive the reports of the directors, external auditors, board evaluation consultants and statutory audit committee.
The meeting will seek approval for the directors to fix the remuneration of the external auditors for 2026, disclosure of managers’ remuneration and the election of members of the statutory audit committee.
Fidelity Bank said the rescheduled meeting would transact the same business contained in its original notice issued on June 11, with all proposed resolutions remaining unchanged.

The bank did not give a reason for the rescheduling. The AGM will be conducted virtually through the bank’s website, allowing shareholders to participate electronically and vote on the resolutions.
The bank also reminded shareholders with unclaimed dividend warrants and share certificates to contact its registrar, First Registrars & Investor Services Limited.

Shareholders yet to mandate their dividends for electronic payment were equally urged to complete the e-dividend registration process.
The changes at the AGM come against the backdrop of Fidelity Bank’s broader corporate governance responsibilities as a listed financial institution, with shareholders retaining the power to approve directors and other key resolutions at the meeting.
