Fidelity Bank delays H1 financial results, reschedules AGM to October 9

FIDELITY Bank Plc has secured another extension to publish its audited financial statements for the half year (H1) ended June 30, 2026, while rescheduling its 38th Annual General Meeting (AGM) to Friday, October 9, as investors await the bank’s financial disclosures.

In separate notices to the Nigerian Exchange Limited (NGX), the bank said publication of its H1 audited results would follow the receipt of regulatory approval, without specifying a new deadline for their release.

The latest extension follows an earlier approval that gave the lender until September 30, 2026, to publish the financial statements, according to a statement dated October 5 and signed by Company Secretary, Ezinwa Unuigboje.

The delay means shareholders will have to wait longer for the audited figures for the six months ended June 30, which would provide insight into the bank’s financial performance during the period.

Fidelity Bank also said its insiders and connected persons must continue to observe the closed trading window for its shares. The restriction will remain in place until 24 hours after the publication of both the half-year audited financial statements and the unaudited results for the period ended September 30, 2026.

The development comes as the bank prepares to hold its rescheduled 38th AGM virtually on October 9, 2026. The meeting will take place through the bank’s dedicated portal at www.fidelitybank.ng/agm.

In a notice dated October 6, the bank said the meeting would consider the same ordinary business contained in the original notice issued on June 11, 2026. It added that all previously circulated information, including proposed resolutions and proxy forms, remained valid, except for the change in meeting date.

Among the matters scheduled for consideration is the bank’s audited financial statements for the year ended December 31, 2025, alongside reports from the directors, external auditors, board evaluation consultants and statutory audit committee.

Shareholders will also vote on the election of a Non-Executive Director, Dr Jonathan O. Ososuakpor, appointed to the board on May 22, 2026. Chairman and Non-Executive Director, Mrs Amaka Onwughalu, is due for re-election, while Chief Nelson Nweke will retire by rotation and will not seek another term.

Other agenda items include authorising the directors to determine the external auditors’ remuneration for 2026, disclosing the remuneration of the company’s managers and electing members of the statutory audit committee.

The bank said shareholders could participate in the virtual meeting, appoint proxies to attend and vote on their behalf, and submit questions to the company before the meeting.
